Request for Proposal for Bond Counsel
1 CITY OF STRAWN, TEXAS BOND COUNSEL REQUEST FOR PROPOSALS AND STATEMENTS OF QUALIFICATIONS To provide assistance with respect to possible loan and/or loan forgiveness funding through the Texas Water Development Board (the “TWDB”) and to provide objective legal opinion with respect to the validity of any evidences of indebtedness (the “Obligations”) issued by the City of Strawn, Texas (the “City”) for capital financing. A. INTENT OF PROPOSAL The City is soliciting proposals and statements of qualifications from interested qualified professionals to provide the following services: assist in obtaining loan and/or loan forgiveness funding and to provide legal opinion with respect to validity of any Obligations issued by the City for capital financing or refinancing; preparation of resolution or ordinance authorizing and securing the Obligations (the “Ordinance”) and/or authorizing any loan forgiveness agreements as necessary. The City reserves the right to accept or reject any or all proposals for any reason it finds to be in the best interests of the City. The City seeks to afford the opportunity for qualified small business enterprise (“SBE”), minority business enterprise (“MBE”) and women-owned business enterprise (“WBE”) firms to propose to provide the services described herein. B. SCOPE OF SERVICES: The services to be provided by the Bond Counsel shall include the following duties, as necessary: Assist in preparing legal documents in connection with the Obligations and/or loan forgiveness funding. Render an objective legal opinion with respect to validity of any Obligations issued by the City. Examine applicable law. Prepare the Ordinance and other documents necessary to authorize any Obligations and/or loan forgiveness agreements with the TWDB. Consult with the parties to the transaction prior to the issuance of Obligations or entry into loan forgiveness agreements. Secure TWDB and Texas Attorney General approval of any Obligations and the registration of the Obligations by the Comptroller of Public Accounts of the State of Texas. Review certified proceedings. Undertake such additional duties as deemed necessary to render the opinion with respect to each issue of Obligations. C. STATEMENT OF QUALIFICATIONS The proposer shall provide a description of the history and background of the firm, identification of the services currently being provided to municipalities in Texas and other information relevant to the provision of Bond Counsel Services. 2 1. General information about the firm. A. Name, address, and telephone number of the firm. B. History of the firm. C. List names and titles of officers of the firm who will be directly responsible for Bond Counsel services. D. Information pertaining to the firm’s compliance with licensing and other requirements. 2. References. List of two (2) references to those listed in #1 above. 3. Identify personnel to be assigned responsibility for administering the account (provide resume and location for the individual representatives that the firm will assign to the account). 4. List the experience of the individuals assigned to the account with the TWDB’s loan programs and placement of debt instruments with the TWDB. Please list the work performed, including the dollar amount of the debt issue or other financing. Please include the names, addresses, and telephone numbers of contact persons. 5. Additional services - describe any other service or experience of the firm, which you deem beneficial in acting as Bond Counsel to the City. 6. Attach a copy of bond counsel services contract proposed by your firm without fee information. D. RECEIPT OF PROPOSALS If your firm is interested in being considered as Bond Counsel for the City, proposals must be received no later than 4:00 PM (Central Time) on April 1, 2022, at City Hall, 118 East Housley Street, Strawn, Texas 76475. One (1) copy of the proposal must be sealed and clearly marked on the face of the shipping material “BOND COUNSEL RFP”. E. SELECTION CRITERIA The following criteria will be used as a basis for the selection of the Bond Counsel: EXPERIENCE OF PERSONNEL 35 POINTS To assess the background and experience of the personnel in working with Texas political subdivisions. TEAM MEMBERS 25 POINTS To identify the personnel the firm proposes to commit on a day-to-day basis and evaluate the specific qualifications of these individuals. REFERENCES 15 POINTS To demonstrate client satisfaction and the candidate’s familiarity with municipal issues. 3 FINANCIAL CONDITION 15 POINTS To demonstrate the firm’s financial condition. TEXAS WATER DEVELOPMENT BOARD FINANCING PROGRAMS 10 POINTS To provide a preference to firms with experience using the TWDB’s financing programs. TOTAL 100 POINTS F. ADDITIONAL INFORMATION 1. This contract is contingent upon release of funds from the TWDB. 2. Any contract or contracts awarded under this Request for Proposals and Statements of Qualifications are expected to be funded in part by a loan and/or loan forgiveness funds received from the TWDB. Neither the State of Texas nor any of its departments, agencies, or employees are or will be a party to this Request for Proposals and Statements of Qualifications or any resulting contract. 3. This contract is subject to the Environmental Protection Agency’s (“EPA”) “fair share policy”, which includes EPA approved “fair share goals” for MBE and WBE firms in the Construction, Supplies, Equipment, and Services procurement categories. EPA’s policy requires that applicants and prime contractors make a good faith effort to award a fair share of contracts, subcontracts, and procurements to small, minority and women-owned business enterprise (“SMWBE”) firms. Although EPA’s policy does not mandate that the fair share goals be achieved, it does require applicants and prime contractors to demonstrate us of the six affirmative steps. The current fair share goals for the State of Texas are as follows: MBE WBE Construction 12.94% 8.72% Supplies 9.68% 9.34% Equipment 7.12% 5.39% Services 10.84% 5.72% 4. Information about your Drinking Water
The sources of drinking water (both tap water and bottled water) include rivers, lakes, streams, ponds, reservoirs, springs, and wells. As water travels over the surface of the land or through the ground, it dissolves naturally-occurring minerals and, in some cases, radioactive material, and can pick up substances resulting from the presence of animals or from human activity.
Drinking water, including bottled water, may reasonably be expected to contain at least small amounts of some contaminants. The presence of contaminants does not necessarily indicate that water poses a health risk. More information about contaminants and potential health effects can be obtained by calling the EPAs Safe Drinking Water Hotline at (800) 426-4791.
Contaminants that may be present in source water include:
- Microbial contaminants, such as viruses and bacteria, which may come from sewage treatment plants, septic systems, agricultural livestock operations, and wildlife.
- Inorganic contaminants, such as salts and metals, which can be naturally-occurring or result from urban storm water runoff, industrial or domestic wastewater discharges, oil and gas production, mining, or farming.
- Pesticides and herbicides, which may come from a variety of sources such as agriculture, urban storm water runoff, and residential uses.
- Organic chemical contaminants, including synthetic and volatile organic chemicals, which are by-products of industrial processes and petroleum production, and can also come from gas stations, urban storm water runoff, and septic systems.
- Radioactive contaminants, which can be naturally-occurring or be the result of oil and gas production and mining activities.
In order to ensure that tap water is safe to drink, EPA prescribes regulations which limit the amount of certain contaminants in water provided by public water systems. FDA regulations establish limits for contaminants in bottled water which must provide the same protection for public health.
Contaminants may be found in drinking water that may cause taste, color, or odor problems. These types of problems are not necessarily causes for health concerns. For more information on taste, odor, or color of drinking water, please contact the system's business office.
You may be more vulnerable than the general population to certain microbial contaminants, such as Cryptosporidium, in drinking water. Infants, some elderly, or immunocompromised persons such as those undergoing chemotherapy for cancer; persons who have undergone organ transplants; those who are undergoing treatment with steroids; and people with HIV/AIDS or other immune system disorders, can be particularly at risk from infections. You should seek advice about drinking water from your physician or health care providers. Additional guidelines on appropriate means to lessen the risk of infection by Cryptosporidium are available from the Safe Drinking Water Hotline (800-426-4791).
If present, elevated levels of lead can cause serious health problems, especially for pregnant women and young children. Lead in drinking water is primarily from materials and components associated with service lines and home plumbing. We are responsible for providing high quality drinking water, but we cannot control the variety of materials used in plumbing components. When your water has been sitting for several hours, you can minimize the potential for lead exposure by flushing your tap for 30 seconds to 2 minutes before using water for drinking or cooking. If you are concerned about lead in your water, you may wish to have your water tested. Information on lead in drinking water, testing methods, and steps you can take to minimize exposure is available from the Safe Drinking Water Hotline or at http://www.epa.gov/safewater/lead.

On 6/17/2021 the Texas Commission on Environmental Quality required the City of Strawn public water system, TX1820005 to issue a Boil Water Notice to inform customers, individuals, or employees that due to conditions which occurred recently in the public water system, the water from this public water system was required to be boiled prior to use for drinking water or human consumption purposes.
The public water system has taken the necessary corrective actions to restore the quality of the water distributed by this public water system used for drinking water or human consumption purposes and has provided TCEQ with laboratory test results that indicate that the water no longer requires boiling prior to use as of 6/19/2021.

The Boil Water Notice was issued as a precautionary measure due to loss of pressure during a system wide outage on Thursday, June 17th, 2021. Water samples were taken as soon as pressure was restored. The results of these tests were found to be negative indicating the water is safe to drink.

Due to loss of pressure caused by a water leak, the Texas Commission on Environmental Quality has required the City of Strawn, PWS TX 1820005 public water system to notify all customers to boil their water prior to consumption (e.g., washing hands/face, brushing teeth, drinking, etc). Children, seniors, and persons with weakened immune systems are particularly vulnerable to harmful bacteria, and all customers should follow these directions).
To ensure destruction of all harmful bacteria and other microbes, water for drinking, cooking, and ice making should be boiled and cooled prior to use for drinking water or human consumption purposes. The water should be brought to a vigorous rolling boil and then boiled for two minutes.
In lieu of boiling, individuals may purchase bottled water or obtain water from some other suitable source for drinking water or human consumption purposes.
When it is no longer necessary to boil the water, the public water system officials will notify customers that the water is safe for drinking water or human consumption purposes.
Once the boil water notice is no longer in effect, the public water system will issue a notice to customers that rescinds the boil water notice in a manner similar to this notice.

You can do this by posting this notice in a public place or distributing copies by hand or mail.

City of Strawn was able to restore pressure to the system after the pipes were thawed. This notice will be rescinded once a sample of water has been tested by an accredited lab and results found acceptable by the Texas Commission on Environmental Quality.

The City of Strawn public water system, (PWS) ID 182005, will temporarily convert the disinfectant used in the distribution system from chloramine to free chlorine. The conversion will begin on 5/5/2021 and continue through 5/13/2021 During this period, you may experience taste and odor changes associated with this type of temporary disinfectant conversion.
Public water systems are required to properly disinfect their water and maintain an adequate disinfectant residual in the distribution system. Chloramine, free chlorine combined with ammonia, is widely used as a disinfectant because it persists for long periods while also limiting the formation of disinfection by-product contaminants. Prolonged use of chloramine coupled with other factors that can affect water quality, such as high temperatures or stagnation of water, may result in the growth and/or persistence of organic matter within the pipes of the distribution system, which may hinder the ability to maintain an adequate disinfectant residual. A temporary conversion to free chlorine, partnered with flushing activities, helps to rid distribution pipes of this organic matter and improve the quality of your water overall.
City of Strawn has chosen to implement a temporary disinfectant conversion to free chlorine based on the following:
